Please read these Terms and Conditions (“Terms”) carefully before using our website (the “Website”) and any services provided through it (the “Services”). In these Terms, "MentorshipHub," “we,” “us,” or “our” refers to MSC Consulting & Solutions Inc., the parent company of the MentorshipHub platform.
By accessing or using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Website or Services.
1. Use of the Website and Services
1.1 Definitions
a. Platform: Refers to MentorshipHub, including all related digital platforms, features, and services operated by MSC Consulting & Solutions Inc.
b. User: Any individual who creates an account on MentorshipHub, including mentors and mentees.
c. Mentor: A User who provides guidance, knowledge, or professional advice to other Users.
d. Mentee: A User who receives mentorship from Mentors on the platform.
1.2 Eligibility
To use our Services, you must:
a. Be at least 18 years of age.
b. Provide accurate, complete, and truthful information during registration.
c. Not have been previously suspended or banned from using the Services.
d. Not engage in any unlawful or unethical activity in connection with the Services.
By creating an account, you represent and warrant that you meet these eligibility criteria. We reserve the right to refuse service to any individual or entity and may update our eligibility requirements at our sole discretion.
1.3 Account Creation and Responsibilities
To access certain features, you may be required to create an account. By doing so, you agree to:
a. Provide accurate, current, and complete account information.
b. Maintain the confidentiality of your login credentials.
c. Notify us immediately of any unauthorized access or suspected breach of security.
d. Be fully responsible for all activities that occur under your account.
e. We reserve the right to suspend or terminate accounts without notice if any misuse, security concerns, or breaches of these Terms are detected.
1.4 Prohibited Activities
You agree not to use the Website or Services for any unlawful or prohibited purpose, including but not limited to:
a. Violating any applicable local, national, or international law or regulation.
b. Disrupting or interfering with the integrity or performance of the platform.
c. Reverse engineering, decompiling, or attempting to extract the source code of the platform.
d. Transmitting harmful code, malware, or any content intended to harm or compromise the platform or its Users.
e. Impersonating any person or entity, or misrepresenting your affiliation;
f. Collecting personal information or data from other Users without permission.
g. Infringing on intellectual property rights of MentorshipHub or any third party.
2. Intellectual Property Rights
2.1 Ownership
All content, features, and functionality made available through the Services—including but not limited to text, graphics, logos, icons, audio and video clips, user interfaces, and software—are the exclusive property of MentorshipHub and/or its licensors. These materials are protected by applicable copyright, trademark, patent, and other intellectual property laws. All rights, titles, and interest in the content remain with MentorshipHub and/or the respective rights holders. No ownership or rights are transferred to users through access or use of the Services.
2.2 Limited License
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services in accordance with these Terms. This license is provided solely for your personal, non-commercial use. Except as expressly permitted in writing by MentorshipHub, you may not:
a. Reproduce, distribute, modify, or create derivative works from any part of the Services.
b. Sell, resell, rent, sublicense, or otherwise exploit the Services for commercial purposes.
c. Collect or use any product listings, descriptions, prices, or user information.
d. Use data mining, robots, or similar tools to extract data from the platform.
e. All rights not expressly granted to you under these Terms are reserved by MentorshipHub and its licensors.
2.3 Prohibited Use
You agree not to use the Services in any manner that is unlawful, abusive, or otherwise violates these Terms. This includes, but is not limited to:
a. Engaging in behavior that is harassing, offensive, threatening, or harmful.
b. Using the Services to upload, share, or transmit any form of malicious code or software.
c. Interfering with the performance, security, or integrity of the platform or its networks.
d. Attempting to gain unauthorized access to any part of the Services or related systems.
e. Violations of this section may result in the immediate suspension or termination of your account and access to the Services.
3. Disclaimer of Warranty
The Services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. MentorshipHub expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. While we strive to provide a secure and reliable platform, we do not warrant that the Services will be uninterrupted, error-free, or completely secure. You understand and agree that any materials or data downloaded through our Services are accessed at your own discretion and risk. You are solely responsible for any damage to your devices or data loss that may result. MentorshipHub shall not be liable for any damage or loss arising from your use of the Services.
4. Limitation of Liability
To the fullest extent permitted by law, MentorshipHub shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damage resulting from your access to or use of the Services. This includes, without limitation, damages for lost profits, data losses, or other intangible losses, even if we have been advised of the possibility of such damage. Your use of the Services is entirely at your own risk. We reserve the right to update or modify these Terms at any time without prior notice. Continued use of the Services following any such changes constitutes your acceptance of the revised Terms. If you disagree with the changes, you may discontinue use of the Services. Additionally, users agree to maintain the confidentiality of all information shared during mentoring sessions unless both parties agree otherwise.
5. Indemnification
You agree to indemnify, defend, and hold harmless MentorshipHub, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use or misuse of the Services, your violation of these Terms, or your infringement of any third-party rights.
6. Modifications to the Terms
We reserve the right to amend these Terms at any time. Any modifications will become effective immediately upon being posted on our website. Your continued use of our Services following the posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for updates.
7. Termination of Access
MentorshipHub reserves the right, at its sole discretion, to suspend or terminate your access to all or part of the Services at any time, with or without notice, for any reason, including breach of these Terms. Following termination, you may be restricted from accessing the Services without prior written consent from MentorshipHub.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any failure by MentorshipHub to enforce any part of these Terms does not constitute a waiver of our rights. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. By using our Services, you agree to these Terms and consent to the jurisdiction of the courts of Ontario.
9. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The parties agree to replace the invalid or unenforceable provision with one that reflects the original intent as closely as possible in a legally valid manner.
10. Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices published by us, constitute the complete agreement between you and MentorshipHub concerning the use of our Services. They supersede all prior or contemporaneous communications, whether oral or written. Any amendments or waivers must be in writing and signed by an authorized representative of MentorshipHub.
11. Miscellaneous
MentorshipHub may revise these Terms at any time, with changes becoming effective upon posting to our website. Continued use of the Services indicates your acceptance of the updated Terms. 12. User Data
At MentorshipHub, we are committed to safeguarding the privacy of our users. We handle personal information with care, transparency, and in accordance with applicable data protection laws. Our Privacy Policy outlines how we collect, use, store, and protect your data.
We use user data for legitimate business purposes, including:
a. Improving Our Services: We analyze data to better understand user preferences and enhance the quality and effectiveness of our offerings.
b. Personalizing the Experience: User data allows us to tailor content, communications, and recommendations to individual interests and past behavior.
c. Fraud Prevention: Monitoring usage patterns helps us detect and prevent fraudulent or suspicious activities to protect user accounts.
d. Enhanced Customer Support: Access to user history allows our team to deliver more efficient and personalized assistance.
e. Market Research: Data insights help us evaluate trends, improve strategies, and adapt to user needs.
We do not sell or share personal information with third parties without user consent, except as required by law. We implement strict security measures to protect your data and uphold your privacy. By using our services, you acknowledge and accept our data practices as described in this section and in our Privacy Policy.
13. Fees and Payments
Users agree to pay any applicable fees as outlined during registration or when booking a session. Payments are processed securely via third-party payment providers, and users must comply with the terms and conditions of those providers. Unless otherwise stated in our refund policy, all payments are non-refundable.
14. General Refund Policy
Refund Requests:
Refunds must be requested within 24 hours following the scheduled session. Requests submitted after this window will not be considered.
Eligibility for Refunds:
a. The session did not occur due to a mentor-related issue.
b. The session significantly deviated from the agreed-upon description or expectations.
c. A technical failure on our platform prevented the session from taking place.
Non-Refundable Fees:
a. Service Fees: Any platform or transaction fees are non-refundable.
b. Completed Sessions: Sessions successfully completed and agreed upon by both parties are generally non-refundable, unless exceptional circumstances apply.
Refund Request Procedure:
To request a refund, email us at admin@mentorshiphub.ca. Our process is as follows:
a. Review: We will assess your request and provide a response within 1–2 business days.
b. Approval: If approved, your refund will be processed within 3–5 business days and returned to your original method of payment.
15. Cancellation Policy
a. Mentor Cancellations: If a mentor cancels a session, the mentee may either reschedule or receive a full refund.
b. Mentee Cancellations: Mentees must cancel at least 24 hours prior to the session to receive a full refund. Cancellations made less than 24 hours before the session are not eligible for a refund.
16. Social Media Consent
As part of our ongoing efforts to promote our platform and celebrate our mentors' achievements, we occasionally feature mentor profiles on our official social media channels, including but not limited to LinkedIn, Instagram, Facebook, X (formerly Twitter) and TikTok.
To ensure transparency and compliance, we request your formal consent to include your professional profile in our promotional content.
By signing this agreement, you [MENTOR] hereby grant Mentorship Hub permission to use the following elements from my mentor profile for marketing and promotional purposes on social media and other digital platforms:
a. Full name
b. Professional titles and credentials
c. Profile photo (if provided)
d. Biography and professional background
e. Testimonials or quotes (if applicable)
f. Any non-sensitive content shared as part of my mentorship journey (with proper context)
You [MENTOR] understand and agree that:
a. Purpose of Use: My information will be used solely for promotional, marketing, and educational purposes that support the mission of MentorshipHub.
b. Scope of Use: The materials may appear in social media posts, newsletters, digital ads, or on MentorshipHub's official website, always in a respectful and professional context.
c. Right to Revoke: I may withdraw my consent at any time by providing written notice to admin@mentorshiphub.ca, upon which MentorshipHub will cease future promotional use of my information.
d. No Compensation: I acknowledge that I will not receive financial compensation for the use of my information in these promotions.
e. Accuracy and Representation: MentorshipHub agrees to accurately represent my profile and will not alter or misrepresent my professional background or statements.
